Quote vs Proforma Invoice vs Invoice vs Receipt

7 min readBy InvoodleUpdated

A customer asks for “an invoice” before approving the order. Do they need a price proposal, a proforma for procurement, or the actual billing document? Ask what they will use it for before you send a file with the wrong heading.

Use a quote to propose the work and price, a proforma when a buyer needs invoice-style information before supply, an invoice to bill at the appropriate stage, and a receipt to acknowledge payment received. You do not need to send all four for every job.

Document names describe their intended purpose. Contract effects, tax timing, accounting and required fields depend on the transaction and applicable rules. Official examples below are labelled by jurisdiction; none certifies your document.

1. Compare the purpose of each document

DocumentMain purposeWhat to reviewWhat it does not prove
QuotePropose a scope, price and terms.Deliverables, exclusions, validity and acceptance process. That the customer has accepted or paid.
Proforma invoicePresent proposed transaction details in invoice form before supply.Buyer references, prices, currency, proposed payment and delivery information. That money arrived or required tax/customs documents are complete.
InvoiceBill the customer for a transaction or stage of work.Issued reference, parties, supply details, amounts, dates and applicable tax requirements. That the bill has been paid or a tax credit is automatically available.
ReceiptAcknowledge an amount actually received.Payer, amount, currency, payment date/method and transaction reference as appropriate.Independent bank verification or that every related balance is settled.

GOV.UK distinguishes an invoice from a receipt, which acknowledges payment. Treat the rows above as a practical comparison, not a list of universal legal consequences.

2. A quote and an estimate are not always interchangeable

Use a quote to state the work, price, assumptions and terms you are proposing. If a figure is an estimate that can change, explain that and how the final price will be agreed. A label alone does not resolve an unclear scope or acceptance process.

Do not assume a quote has no contractual effect. Australian government guidance explains that an accepted quote becomes a contract. For your transaction, check the wording, acceptance and applicable law rather than treating an expiry date as the whole agreement.

Keep the accepted version and any approved changes. A validity date helps explain how long a proposal is open; it does not give either side permission to rewrite an agreement already made.

3. Use a proforma when the buyer needs it

Trade.gov describes a proforma as a quotation presented in invoice form. In export trade, a buyer may use it to arrange an import licence, pre-shipment inspection, a letter of credit or currency transfer. Ask which details the buyer needs; it is not a mandatory extra step for every sale.

Include clear seller/buyer references, item descriptions, quantities, prices, currency, validity and proposed payment/delivery terms. For goods, packaging information and delivery arrangements may also matter. Do not invent trade terms or accept obligations you have not reviewed.

A proforma does not replace a commercial invoice required for customs. Trade.gov discusses commercial invoices separately and recommends checking destination-specific requirements. Neither a sample PDF nor a note saying “proforma” guarantees acceptance.

4. Check tax timing separately from the heading

An invoice is not automatically a valid VAT/GST tax invoice, and issuing a tax invoice is not the only event that can affect tax timing. Required issue dates, tax fields and electronic reporting depend on the rules for the supply.

For a UK VAT example, HMRC says a proforma used to offer a supply cannot support an input-tax claim and should be distinguished from a VAT invoice. Its tax-point guidance also explains that receiving an advance can affect timing; some deposits have different treatment. Calling a document “proforma” does not make the actual payment irrelevant.

Check the required document when goods/services are supplied or an advance is received. A receipt generated by Invoodle is not automatically a statutory advance-payment voucher, VAT invoice or other prescribed document.

5. Separate payment evidence from revenue recognition

A receipt records what you say was received. Keep the supporting bank, cash or payment-provider record and identify whether the payment is partial or final. A screenshot, document status or receipt heading is not an independent check of a transfer.

Do not use the document title alone to decide when income enters your accounts. For example, IRS Publication 538 distinguishes US cash-method income generally reported when received from accrual-method income generally reported when earned. Your applicable accounting and tax rules need their own review.

6. Follow an example from quote to final receipt

Reuse the fictional design job from the freelance invoice checklist: eight hours at USD 75 plus one package at USD 250. This illustration uses the shared balance calculation and applies no tax, discount or shipping; it does not assert an exemption or recommend those prices.

StageDocument or recordAmounts (USD)Next check
ProposalQuote for the design scope$850.00 proposedConfirm acceptance and any changes.
BillingInvoice INV-2026-0044$850.00 totalReview issue timing, fields and agreed payment date.
Partial paymentRecord money already received against that invoice$200.00 received; $650.00 remainingDo not create a full-invoice receipt yet.
SettlementRecord the remaining payment after checking it$850.00 cumulative receipts; $0.00 remainingA full-invoice receipt can now reflect the settled total.

No proforma is needed in this particular example. If a buyer requests one for a separate approval or export purpose, prepare the correct document without treating it as evidence of payment.

The final receipt would acknowledge the full $850.00 USD, not request another payment. An earlier $200.00 USD receipt would need to describe only that partial payment; Invoodle’s saved-invoice conversion creates a full-invoice receipt, not an automatic partial-payment receipt.

7. Know which documents Invoodle can export

The shared editor supports Invoice, Quote and Receipt. The preview and PDF headings follow the selected type. A PI reference or proforma wording in Notes does not create a dedicated Proforma Invoice heading or export mode.

Use quote mode to organise proposed pricing when a Quote is suitable. If the buyer requires a document titled Proforma Invoice, use a tool that supports that final output. The proforma format page explains the distinction and provides a preparation checklist.

The editor does not register e-invoices, validate tax eligibility, verify bank payments or certify customs paperwork. It has one document-level tax setting and no dedicated mixed per-line tax or CGST/SGST breakdown. Check whether the output fits your transaction before sending it.

8. Convert a saved quote or a settled invoice carefully

  • In Documents, open a saved quote’s action menu and choose Convert to Invoice. This creates a new draft with a new suggested number, a current issue date and a reference to the source quote; it keeps the original saved quote.
  • Review the scope, prices, tax and agreed changes. Set the payment due date as needed. The conversion resets recorded payments to zero; it does not record an advance or collect money.
  • Save and review the invoice before sending it. Check its suggested number against your register because the browser counter is shared across document types.
  • Record actual payments against the saved invoice. Make Receipt is disabled while a balance remains. After the full amount is recorded, it creates a new receipt draft for the full invoice; review its date, details and source reference.
  • Saving, converting or setting a status does not send a document or verify a payment. Finish delivery yourself and retain the issued copies and supporting records.

Frequently asked questions

Do I need both a quote and a proforma invoice?

Not for every job. Ask what the customer needs to approve the order or arrange payment. A proforma can provide invoice-style proposed details, but it does not replace the required billing, tax or customs documents.

Is a proforma invoice always legally binding?

Do not assume the title settles that question. Contract effects depend on the wording, acceptance, conduct and applicable law. Keep the agreed terms and obtain advice for a disputed or significant commitment.

Can a payment against a proforma have tax consequences?

Yes, depending on the applicable rules. For example, UK VAT guidance explains tax points for advances and some deposits. A proforma heading does not make the payment irrelevant to tax timing.

Can Invoodle export a dedicated proforma invoice?

No. The current editor exports Invoice, Quote or Receipt. A PI number or a note does not change the document heading to Proforma Invoice. Use a suitable tool if that exact output is required.

Can I convert a partly paid invoice into a full receipt?

Not through the saved-invoice conversion. Record and verify the remaining payment first. The full-invoice receipt action is blocked while a balance remains; it does not automatically issue a partial-payment receipt.
